1. Application of Terms and Conditions
All deliveries, services, and quotations provided by Clipping Service are subject solely to the terms and conditions outlined herein. Upon placing an order, the Orderer signifies their acceptance of these terms and conditions. Furthermore, these terms and conditions of sale shall remain applicable to all subsequent transactions with the Orderer. The General Terms and Conditions of Business can be accessed and printed by the Orderer when making an online order.
2. Contract Formation
The Orderer entrusts Clipping Path Inc with the task of processing digital photographs and, if necessary, other associated services. The contract becomes effective upon completion of the registration process. Prior to accessing the offerings of Clipping Path, the Orderer is required to complete the registration process. During registration, the Orderer receives a unique username and password. A successful contractual relationship between Clipping Factory and the Orderer depends on the completion of registration and the submission of photo materials to Clipping Path or the online ordering of services through the Clipping Path website. By doing so, the Orderer acknowledges the existing General Terms and Conditions of Business. The information provided during registration must be accurate and truthful. The Orderer is obligated to promptly inform Clipping Path about any changes to the registration-relevant data.
3. Non-Fulfillment of the Offer
Should typographical, calculation errors, or errors on the website occur, Clipping Path is not obligated to accept the offer or proceed with the order.
4. Delivery, dispatch
The delivery of orders will be conducted in accordance with the terms specified on the Clipping Path UK website unless alternative agreements have been made between the Orderer and Clipping Path UK. Shipping costs, including returns, will be the responsibility of the Orderer, except in cases of defective goods or incorrect deliveries. Clipping Path UK reserves the right to make partial deliveries. The delivery timelines communicated by Clipping Path UK are approximate and may be subject to variations of up to 24 hours. In instances where Clipping Path UK experiences delays in delivery, the Orderer will not be entitled to claim damages unless specified otherwise in relation to warranty conditions. Rejection of acceptance due to delivery delays will not be permissible to the extent permitted by applicable law.
5. Payment
Deliveries will be executed at the prices indicated on our website, which are valid at the time of contract conclusion. We retain the right to rectify the accurate price if the website displays evident errors, such as typographical or calculation mistakes. The agreed price shall be denominated in US Dollars and shall be payable without deduction upon receipt of the delivery and corresponding invoice. In cases where damage arises from the loss, confusion, or impairment of the transmitted image materials, Clipping Path UK’s liability shall be restricted to the material value, unless the damage results from deliberate intent or gross negligence. Clipping Path UK disclaims liability for image loss during shipment to Clipping Path UK, data loss during transmission to the website, or the loss of materials due to force majeure events.
6. Revisions
Upon the completion of an order, if there is a need for any revisions to meet the same requirements, we will promptly address them. Additional adjustments beyond the initial scope may incur an extra charge.
7. Warranty and Liability
You guarantee that all information you provide to us for the purpose of purchasing the Service is accurate, and any credit or debit card, or electronic payment method you use for payment is your own, with sufficient funds or credit available to cover the Service’s cost. We hold the right to validate your credit or debit card details before rendering the Service.
We guarantee that each clipping path we create for you in accordance with these terms and conditions will substantially conform to your Order. If any clipping path we create is proven, to our reasonable satisfaction, to be defective, we will re-do the Service and provide you with a replacement clipping path that substantially aligns with the Order at no additional charge. This solution is the exclusive remedy for breaches of the above warranty and is offered under the condition that the defect resulted from our default. We assume no responsibility for defects in the Order or any defect arising from our reliance on your instructions.
Any claim related to a defect in the quality of provided Services, as per these terms and conditions, must be reported to us within 03 days of delivery. Failure to report within this timeframe will be deemed as acceptance of the Services in line with the Order.
We will make reasonable efforts to ensure the continuous availability of the Site. However, we cannot assure uninterrupted operation or error-free functionality of the Site. Hence, we disclaim any liability for Site failure or unavailability.
We are not liable to you for data loss or damage, loss of profits, anticipated profits, revenues, savings, goodwill, business opportunity, or any indirect or consequential loss or damage.
In relation to any Order, our maximum combined liability to you will never exceed the amount payable to us for that Order. These terms and conditions do not exclude or limit our liability for death or personal injury caused by negligence or liability arising from fraud.
8. Data Protection and Data Backup
The Orderer acknowledges and consents to the storage of necessary personal data for the purpose of order handling, commission management, and archiving on data storage devices. The explicit consent is granted for the recording, processing, and utilization of personal data. Data processing is carried out in accordance with the Federal Data Protection Act and the Tele-Service Data Protection Act. All data will be treated confidentially. The Orderer retains the right to withdraw this consent at any time, affecting future processing. In such a case, Clipping Path commits to promptly delete personal data, unless an ongoing order process necessitates retention.
Upon placing an order, Clipping Path assumes that the Orderer undertakes data backup measures beyond the delivery period to Clipping Path. Clipping Path is not responsible for data backup, specifically for image files stored in storage services. The Orderer grants consent to Clipping Path for the storage of their data as described above.
9. Quality Assurance & Refund Policy
At Clipping Path, our primary goal is to deliver services of exceptional quality. In the unlikely event that you find the outcomes of your project unsatisfactory, we are committed to making necessary adjustments and improvements to meet your expectations. All requests for revisions and refunds must be submitted within 7 days of the delivery date. We retain the right to decline any revision request if the Client alters the initial requirements.
If the edited images adhere to the same quality standards as an approved sample image, Clipping Path is unable to provide a refund for that specific order. We do understand that unforeseen circumstances can arise, which may require image adjustments beyond our control. In such cases, we might be able to accommodate your needs at a reduced expense.
It’s important to note that any amendments conducted under our quality assurance policy do not affect the rights of Clipping Path or its affiliated entities. Payment for quotations can be made directly through Clipping Path. In instances where customers have downloaded their images and cannot substantiate a valid reason for dissatisfaction, no refund will be issued.
10. Alterations/Modifications
Clipping Path reserves the right to modify the terms and conditions governing the usage of the service offered under this contract at any time. Notification of such modifications will be made through a notification posted on the Clipping Path website. If the Orderer continues to engage with the Clipping Path service following notification of the changes, it shall be deemed as acceptance of these revised terms. Clipping Path retains the discretion to discontinue or revoke any or all aspects of its service offering without prior notification.
